A Holding company with activities in production and investment, headquartered in Cyprus.


Job Duties

Responsibilities:

This is a great opportunity for an experienced Corporate Administrative professional to join a dynamic environment. The successful candidate will report to the Head of Cyprus Office and the Company Board of Directors.

• Arranging annual general meetings (AGMs) relating to agendas’ preparation, taking minutes, arranging correspondence, etc.

• Assist the Directors and Management in corporate governance matters

• Keep up to date with any regulatory or statutory change and policies that might affect the Company

• Draft, corporate policies and regulations and ensure their maintenance

• Maintain and keep up to date all Secretarial files/ Corporate Certificates of the Cyprus based entities of the Group

• Prepare, review and execute all legal and secretarial documents, including PoAs, minutes, resolutions, trust declarations, among more

• Provide assistance with KYC documentation and procedures

• Maintain an organized and readily accessible filing system as well as document flow administration

• Translation of documents

• Liaise with the Group’s administrators, agents, lawyers, auditors, etc.

• Manage office maintenance including administrative tasks

• Undertake any other related duty assigned by the Management


Job Requirements

Profile of the ideal candidate:

• University degree in Economics, Law or a related field

• Certification in AML, EU Directives, Corporate Governance, and/or MiFID will be considered an advantage

• At least 3 years of experience in a Corporate Secretarial or Legal role with similar responsibilities

• Very good knowledge of Corporate Governance

• Hands-on experience in drafting statutory documents and minutes

• Very good communication and interpersonal skills

• Very good time management and organizational skills

• Integrity of character coupled with a high sense of confidentiality

• Proficiency in a legal system (Lexis-Nexis, EUR-Lex, or e-Justice) will be considered an advantage

• Fluent in both English and Russian. Knowledge of Greek and/or Ukrainian will be considered an advantage.

An attractive remuneration package will be offered to the successful candidate according to qualifications and experience. The position will be a fixed-term contract (1 year with the possibility of renewal on an annual basis).
