Job description

We are looking for a Legal Counsel

Job Duties

  • Performing accurate legal research and preparing relevant reports;
  • Review, draft, and negotiate a wide range of contracts and agreements, including partnership, assignment agreements, policies and procedures, internal memos/ templates and etc.
  • Collecting documents for foreign interest company registration;
  • Interfacing with regulatory authorities, ensuring the company follows regulatory requirements related to the IT industry;
  • Provisioning of updates on changes in laws and regulations that might affect the IT industry within Cyprus, the USA, the EU and worldwide where applicable).
  • Drafting commercial and other corporate documents, such as minutes, resolutions, POA’s, letters, notices etc.
  • Preparing and filing all necessary documentation relating to corporate changes (e.g. changes of officers, registered address, change of shareholder etc.) with the relevant authorities and following up;
  • Assisting with company restructuring and liquidation;
  • Complying with AML, KYC and GDPR requirements according to the relevant Laws and Regulations;
  • Cooperation with the Finance department, tax advisors, HR department;
  • Conduct administrative legal work, including making arrangements for certifying true copies, apostille, execution, etc.;
  • Provision of business-oriented legal advice and recommendations on significant issues, and assistance in the day-to-day legal matters;
  • Maintenance of various registers/database of documents;
  • Performing any other ad-hoc duties as required by superiors and the management.

Job Requirements

  • Minimum 2 years of relevant experience in IT/IP area
  • Solid knowledge of the Cyprus Companies law, IP Law and all applicable laws, regulations, and industry standards, GDPR;
  • Drafting legal documents, agreements for the sale/acquisition/licensing of IP rights, software development agreements, vendor agreements;
  • Legal support in implementing Cyprus IP box regime;
  • The ability to identify legal risk (even if little prior experience in the relevant area);
  • Ability to gather information and analyse data;
  • Clarifies tasks and requirements, organises time and manages workload to ensure deadlines are met
  • Manages multiple tasks concurrently and efficiently;
  • Communicates effectively at all levels of the company in verbal and written form.
