Our client, a CySEC regulated Forex Company, engaged in the field of fintech, with a comfortable office in the city center in Limassol, is looking to hire an Inhouse Legal Advisor.
Responsibilities:
Consult and handle all corporate legal processes (e.g. financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents)
To prepare the necessary documents for legal research (Due Legal Diligence).
To represent the company's interests in state, municipal, judicial and private sector institutions in Cyprus and abroad.
Independently prepare and submit all necessary documents to the Cyprus Business Register.
Develop Company's policy and position on legal issues
Research, anticipate and guard Company against legal risks
Structure, draft and review reports, agreements, and other legal documents
Draft and administer all contractual arrangements between company and the regulators
Provide legal advice and support to Executive Management and BoD (including legal opinions and legal research) on legal and regulation matters
Provide strategic input on group and ownership structure, and corporate governance best practices
To prepare draft agreements, correspondence documents, order documents, authorization documents, internal regulations documents etc.
Cooperation and coordination with external legal advisers and lawyers in Cyprus and abroad
General search and general legal advice to the company
Preparing and submit legal opinions and advice on corporate, commercial, banking and finance issues:
Reviewing new regulations, applicable, and advising on how these are affecting the company's operations:
Conducting legal research on various topics and liaise with outsourced law firms and/or associates in order to acquire relevant information
Assisting to develop relationships with third parties in Cyprus and overseas.
Requirements:
BS/BA Degree in Law or relevant field from a reputed Law School
Minimum 3 years of experience as a Corporate Attorney, Corporate Lawyer, similar position with a global multi-licensed Financial Services Firm
Good knowledge of commercial law, corporate law and labour law, as well as an understanding of personal data protection
A professional attorney's license of law practice is mandatory
Excellent knowledge of Cyprus Companies Law and overall knowledge of the legal framework regulating or relating to Cyprus companies, Anti-Money Laundering Regulations and the Cyprus International Trust Consolidated Laws
Familiar with CYSEC and other regulations is MUST
Knowledge with at least 2-3 regulatory bodies in the FX industry
Excellent verbal and written communication and presentation skills
Self-motivated individual with good analytical skills
Strong time management skills
Excellent attention to detail
A critical thinker and good problem-solving ability
Outstanding drafting skills
